End User License Agreement
Effective date: October 25, 2026
This End User License Agreement ("Agreement") is between you (the individual or organization using the service, "you") and Private Entrepreneur Tornike Berydze, Tax ID 01301158015, 8 Gagra Street, apt. 305, Tskneti, Tbilisi, 0179, Georgia ("we", "us"), the provider of AuditCleanse (the "Service"). By creating an account, connecting a QuickBooks Online company, or otherwise using the Service, you agree to this Agreement. If you do not agree, do not use the Service.
1. License grant
Subject to this Agreement and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, including reviewing the books of clients you are authorized to act for. All rights not expressly granted are reserved by us.
2. Accounts
You are responsible for the accuracy of your account information, for keeping your login credentials confidential, and for all activity under your account, including actions taken by users you invite. You must be at least 18 years old and authorized to bind the organization you represent.
3. Acceptable use
- Only connect QuickBooks companies you own or are authorized to access and modify.
- Do not reverse engineer, resell, sublicense, or copy the Service.
- Do not use the Service unlawfully, to infringe others' rights, or to interfere with its security or operation.
4. QuickBooks Online connection
The Service connects to Intuit QuickBooks Online through Intuit's OAuth 2.0 authorization. We never see your QuickBooks password. Your use of QuickBooks remains governed by your agreement with Intuit Inc. Intuit is not a party to this Agreement and is not responsible for the Service. You may disconnect at any time from the Connections page or from within QuickBooks.
5. Proposed fixes and your responsibility
The Service identifies possible issues (such as duplicate transactions, missing classes or locations, and register anomalies) and proposes changes. No change is written to QuickBooks unless a user of your account approves it. You are solely responsible for reviewing and approving every change, including voids, which set amounts to $0.00 and annotate the memo. The Service blocks writes to periods before your QuickBooks book close date and to reconciled transactions, but you remain responsible for your period-close and reconciliation controls. Vendor and customer merges are advisory only and are never performed automatically. A revert function is provided on a best-effort basis and may not be available for every change.
6. Not professional advice
The Service is a software tool. It does not provide accounting, auditing, tax, or legal advice, and its output (including CPA packages and cleanup memos) is not an audit, review, or attestation. You should consult a qualified CPA or other professional before relying on any output for financial reporting, tax filings, or business decisions.
7. Fees, billing and refunds
Paid plans are billed in advance on a recurring basis until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period. If you are not satisfied, you may request a full refund within 30 days of your first payment for a subscription (or of any renewal charge) by emailing us. Fees are exclusive of taxes, which you are responsible for. We may change prices with at least 30 days' notice.
8. Your data
You retain all rights to your data, including financial data retrieved from QuickBooks. You grant us a limited license to process it solely to provide the Service. Our handling of data is described in our Privacy Policy.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL DETECT EVERY ERROR OR THAT IT WILL BE UNINTERRUPTED OR ERROR-FREE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, OR FOR PENALTIES, TAXES OR FINES ARISING FROM YOUR BOOKS. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnity
You will defend and indemnify us against third-party claims arising from your use of the Service, your data, changes you approve, or your breach of this Agreement or applicable law.
12. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach this Agreement or if required by law or by Intuit. After termination, your data is retained and deleted as described in our Privacy Policy. Sections 5, 6, 9, 10, 11 and 13 survive termination.
13. Governing law and disputes
This Agreement is governed by the laws of Georgia, without regard to conflict-of-law rules. Disputes will be resolved exclusively by the competent courts of Tbilisi, Georgia.
14. Changes
We may update this Agreement. Material changes will be notified by email or in the Service at least 15 days before they take effect. Continued use after that date means you accept the updated Agreement.
